✅ About the Opportunity

A leading Am Law 50 firm is expanding its Private Investment Funds (PIF) practice and is seeking a highly qualified mid-level associate to join its team in Boston, New York, or San Francisco . The group advises private equity, venture capital, and other investment managers on the structuring, formation, and operation of funds ranging from early-stage vehicles to multi-billion-dollar global platforms.

This is a premier opportunity to work closely with top sponsors and institutional investors, gain deep exposure to market-leading fund terms, and handle sophisticated fund formation transactions in a highly collaborative environment.

✅ Key Responsibilities

• Represent private investment fund sponsors in the formation, structuring, and closing of private equity, venture capital, and other pooled investment vehicles
• Draft and negotiate fund documents, side letters, subscription agreements, and related regulatory materials
• Guide clients through securities law, Investment Company Act, and Advisers Act considerations
• Advise on private placements under the ’33 Act
• Support ongoing fund operations, investor relations, compliance, and governance matters
• Work directly with partners and clients in a high-responsibility, team-focused environment

✅ What We’re Looking For

• Am Law experience preferred
• Class year 2019–2023
• Experience with private investment funds, fund formation, or related PE/VC transactions
• Familiarity with:
• • Private placements (’33 Act)
  • Unregistered funds (Investment Company Act)
  • Investment Advisers Act
• Strong drafting, communication, and client-management skills
• A desire to take ownership of work and drive transactions forward
• Team-oriented personality with a commercial mindset
